Welcome to Request.st Terms and Conditions. As with all other online offerings, our services are delivered within a predefined legal framework, as set out below. Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the request.st website (the “Service”) operated by THEPMLEAGUE S.L. (hereinafter referred to as “us”, “we”, or “our”), a company registered in the Trade Register of Madrid, Spain (T 33932, F 64, S 8, H M 610653, I/A 1), under company number ESB87391033 and with registered office at: Coto Doñana 5, San Sebastian de los Reyes, Madrid, 28702 and PO Box xxxx (Madrid, Spain).

These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

It is understood by you and your users that any violation of the following Terms and Conditions will result in the termination of your Account. You also agree to use the Service at your own risk.
You represent that you are fully able and competent to enter into the terms, conditions, obligations, representations, and warranties set forth in these Terms and Conditions. As a condition of your right to use and contribute to the Service, you represent that you are of legal age to enter into a binding contract or that you have the permission of your parent or legal guardian to use and contribute to this Service, and that you are not a person barred from visiting the Site and accessing the Content under the laws of Spain or your country. If you are using Request.st as a representative of a company or legal entity, (i) you represent that you have the authority to enter into this Agreement on behalf of that company or entity, and (ii) you agree that the terms “you” and “your” in this Agreement refers to your company or legal entity.

1. Description of Service

Request.st is a beautiful, simple and affordable way for managing how your product evolves and amplifying your user’s engagement. It allows listening to your users gathering their request for new features or bugs, talk them by means of beautiful changelog and in-app widgets, create a visual roadmap for showing how your products evolve and launching viral campaign for new products or features.

Our Service features a wide array of intellectual property content, (collectively “Content”). When any new Content, services, or features are added to the Service in the future, they will also be subject to these Terms and Conditions.

 

2. General Conditions

– Your use of the Service is at your sole risk. The service is provided on an “as is” and “as available” basis.

– You understand that THEPMLEAGUE uses third party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Service.

– The third party vendors and hosting partners engaged by Request.st are responsible for maintaining industry standards (or higher) in support of Request.st customers.

– You understand that the technical processing and transmission of the Service, including your Content, may be transferred un-encrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

– You must not upload, post, host, or transmit unsolicited email, or “spam” messages.

– You must not transmit any worms or viruses or any code of a destructive nature.

– If your bandwidth usage exceeds 500 MB/month, or significantly exceeds the average bandwidth usage (as determined solely by THEPMLEAGUE) of other Request.st customers, we reserve the right to immediately disable your account or throttle your file hosting until you can reduce your bandwidth consumption.

– THEPMLEAGUE does not warrant that (i) the service will meet your specific requirements, (ii) the service will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your expectations, and (v) any errors in the Service will be corrected.

– You expressly understand and agree that THEPMLEAGUE shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if THEPMLEAGUE has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the service; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the service; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the service; (v) or any other matter relating to the service. The total liability of THEPMLEAGUE, whether in contract, tort (including negligence) or otherwise and whether in connection with this Agreement or any collateral contract, shall in no circumstances exceed a sum equal to the amount of fees paid by you to THEPMLEAGUE in the previous 24 months.

 

3. Entities and Roles

At Request.st we identify two main Entities, a Company and End Users (both together are referred as “Users”).

The Company is the Request.st Customer, who uses the Service for providing its End Users capabilities to engage with its products.

The End User is the one who can interact with the Service, adding new requests, voting, commenting or receiving notifications (i.e new releases).

For the Company we have following role types:

– Admin: the admin is the one who pays the bill. The admin manages all the members, has visibility of all company products and manage the company settings (branding and subscription payments).

– Product Owner: who can assign members to requests. Modify team members in their assigned product. The Product Owner role is only available for Pro accounts.

– Member: can manage an assigned request. The Member role is only available for Pro accounts.

 

4. Account Terms

1. You must be a human. Accounts registered by “bots” or other automated methods are not permitted.

2. You must provide your full legal name, company name, valid email address and any other information requested in order to complete the signup process. In case of End users they must provide the requested information for allowing them to engage with the Company’s products.

3. Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many product owners or members as you’d like with the Pro account.

4. You are responsible for maintaining the security of your account and password. Request.st cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You agree to notify Request.st immediately of any known or suspected unauthorized use of your username and password or any other breach of security.

5. You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who have accounts under your account).

6. You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).

THEPMLEAGUE reserves the right to suspend or terminate your use of the Service if it discovers, or has a reasonable basis to believe that any of the information you have provided is inaccurate, incomplete or untrue.

 

5. User-Submitted Content

Any Content uploaded, posted, submitted, or otherwise made available by Users of the Service, or other Content which does not originate with Request.st (“User Content”), is the sole responsibility of the person who made such User Content available on the Service. Under no circumstances will THEPMLEAGUE be liable in any way for any User Content made available through this Service by you or any third party. Since THEPMLEAGUE does not control the User Content posted on the Service, it does not guarantee the truthfulness, integrity, suitability, or quality of that User Content, and it does not endorse such User Content. You also agree and understand that by accessing the Service, you may encounter Content that you may consider to be objectionable. THEPMLEAGUE has no responsibility for any User Content, including without limitation any errors or omissions therein.

User Content is owned by the author thereof, and THEPMLEAGUE does not claim ownership of original works created and posted by individual visitors to this Site.

 

6. Prohibited Content and Activities

You agree that you will not post to the Service, or use the Service to transmit or make available any Content that:

– violates any laws or regulations, contains any threats, is abusive, tortious, harassing, vulgar, obscene, indecent, violates any person’s rights of privacy or publicity, is defamatory, libelous, hateful, contains any disparaging statements or opinions regarding racial, gender or ethnic background, or is otherwise objectionable;

– infringes any intellectual property rights of any party, including, but not limited to any patent, trademark, trade secret, copyright or other proprietary rights;

– contains any private information about an identifiable person without that person’s permission, or any content soliciting any personal or private information from any individual;

– you know or have reason to know is false, misleading, or fraudulent;

– you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); contains any unauthorized advertising, promotional materials, or material which can be characterized as “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “Ponzi schemes” or similar material, any request for or solicitation of money, goods, or services for private gain, or any information (other than advertisements approved by THEPMLEAGUE) posted primarily for advertising, promotional, or other commercial purposes;

– incorporates within it any software viruses or any other computer code, files or programs whose purpose or function is to interrupt, destroy or otherwise impair the operability of any software or hardware or telecommunications equipment;

– contains links to any websites containing content violating any of the foregoing requirements, or links to any websites for purposes of disrupting the operations of such website, harassing the owners of such website, or other objectionable or illegal purposes.

You further agree not to use the Service to:

– engage in any conduct which might be harmful to any individual;

– impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; engage in or facilitate any conduct that is deemed, or found by any court or similar agency, to constitute “stalking” or otherwise harassing conduct aimed at another person or entity;

– engage in or transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation.

In addition, you are prohibited from:

– Reverse engineer, decompile or disassemble any software contained in the Service;

– Reproduce, duplicate, copy or exploit any element contained in the Service, without the prior written permission of us;

– Interfere with or disrupt the Service, or servers or networks connected thereto.

 

7. Payment, Refunds, Upgrading and Downgrading Terms

A valid credit card is required for the ongoing use of all paid accounts. No credit card is required during the trial period.

The Service is billed in advance on a monthly or yearly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.

All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your use of the Service and shall be the responsibility of, and payable by, you. If your place of business is within Spain we will add Spanish VAT to our fees at the current rate. If your place of business is within the European Union (excluding Spain) we won’t add VAT but you must provide us with a valid VAT registration number or other proof that you are using the Service for business purposes. For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.

Downgrading your Service may cause the loss of Content, features, or capacity of your Account. THEPMLEAGUE does not accept any liability for such loss.

THEPMLEAGUE reserves the right to alter the prices subscriptions and usage levels at any time.

All new accounts of the Service will be eligible for a 15-day free trial. You may switch to a paid subscription during the trial period but you will be billed for the new subscription immediately.

Once the 15-day free trial is complete, or you activate a paid subscription, you will be billed for the subscription which you selected during the 15-day trial period.

If you did not select a subscription level during your 15-day free trial, your account will be automatically placed in a holding state until you choose to upgrade.

The standard billing period is every calendar month for monthly plans, and 365 days for yearly plans.

We currently accept payments in US Dollars (USD) only.

We will utilize a third party credit card payment processing company (Stripe) to collect payment information, including your credit card number, billing address and phone number. At the moment we can currently accept Visa, Mastercard, and American Express payments.

 

8. Cancellation and Termination

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

You are solely responsible for properly canceling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account at any time by clicking on the Settings link in the profile menu. The Settings page provides a simple cancellation option.

In case your account is canceled or terminated the following actions will be performed:

– Remove the product or product details you have.
– Remove all your module pages.
– Remove all the requests, comments and associated data.
– Remove all the product owners and members accounts.
– Remove all of your users.
– Cancel your subscription renewal in case you had one active.

 

9. Links To Other Web Sites

Our Service may contain links to third¬party web sites or services that are not owned or controlled by THEPMLEAGUE.

THEPMLEAGUE has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that THEPMLEAGUE shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third¬party web sites or services that you visit.

 

10. No Warranty

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THEPMLEAGUE IS NOT RESPONSIBLE FOR ANY THIRD PARTY CONTENT THAT YOU DOWNLOAD OR OTHERWISE OBTAIN THROUGH THE USE OF THE SERVICE OR FOR ANY DAMAGE OR LOSS OF DATA THAT MAY RESULT. WE DO NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD PARTY APPLICATION OR SERVICE THAT PROVIDES ACCESS TO OUR SERVICE.

 

11. Indemnification

You agree to indemnify and hold THEPMLEAGUE harmless from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party due to or arising out of your use of the Site, including without limitation your actual or alleged violation of these Terms and Conditions, or infringement of a third party’s intellectual property or other rights by you or another user of the Service using your computer or account.

 

12. Modifications to the Service and Prices

THEPMLEAGUE reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

Prices of all Services, including but not limited to monthly subscription plan fees to the Service, are subject to change upon 30 days notice from us. Such notice may be provided at any time by posting the changes to the Request.st website (request.st/pricing) or the Service itself.

THEPMLEAGUE shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

15. Industrial and intellectual property

The intellectual property rights in the contents of Service, its graphic design and code are protected by law and therefore reproduction, distribution, public communication and transformation of the same are prohibited except for the uses authorized by us. Likewise, all business names, images and photographs, trademarks or distinctive signs of any type that appear on the Website are the property of their legitimate owners and are protected by law. Any improper use of the aforesaid by any person other than its legitimate owner may be pursued in accordance with the current legislation. 2. We claim no intellectual property rights over the material you provide to the Service.

“Request.st” are trademarks of THEPMLEAGUE. Other marks, graphics, typefaces, trademarks and logos appearing on the Website are trademarks or trade dress of THEPMLEAGUE. All other trademarks appearing on the Website are property of their respective owners. Our trademarks and trade dress may not be used in any manner for any purpose without our express written consent. You may find marketing guidelines in our Press and Media Kit.

 

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of Spain without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Any dispute which may arise from the use of the Service or concerning these Terms and Conditions shall be governed by Spanish law and the courts of the City of Madrid shall have exclusive jurisdiction to settle any such disputes.

 

17. Changes to these Terms and Conditions

We reserve the right to update and change the Terms and Conditions from time to time without notice. If a revision is material we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Any new features that augment or enhance the current Service, including the release of new tools and resources, shall be subject to the Terms of Service.

Continued use of the Service after any such changes shall constitute your consent to such changes. If you do not agree to the new terms, please stop using the Service. You can review the most current version of the Terms and Conditions at any time at: Terms of Service.
